The Success Story
The Seller’s Objective
After 42 years of building Alert Heating and Cooling, the owner reached one of the most consequential decisions of his professional life: selecting the right party to continue a company that had become closely connected to his identity, employees, customers, and community.
Alert had developed thousands of customer relationships and served several commercial clients for decades. Much of the company’s success came from repeat business, referrals, technical problem-solving, and the trust the owner and his staff had earned throughout the Downriver community.
The seller’s objective was not simply to obtain an acceptable price. He wanted a buyer who could respect what had been built, work constructively with the existing team, serve the company’s customers, and provide a practical role for him during the transition.
Preparing and Positioning the Business
Capital Business Brokerage worked with the seller and his staff to understand the company’s financial performance, customer relationships, daily operations, employees, equipment, vehicles, licenses, supplier relationships, real estate, and opportunities for future growth.
The business was confidentially positioned as an established HVAC operation with a loyal customer base, long-standing market presence, owned real estate, and meaningful opportunities that had not yet been fully developed.
The listing generated interest from 15 unique prospective buyers. The buyer group that ultimately completed the acquisition first contacted Capital only seven days after the business entered the market.
Selecting the Right Buyer
Capital Business Brokerage helped the seller evaluate the strength, experience, financial capacity, proposed structure, and transition expectations of the interested parties.
The selected buyer group included direct HVAC experience and approached the opportunity as an operating business rather than a passive financial investment. Before closing, the buyers were already planning the transition of insurance, banking, accounts receivable, accounts payable, payroll, customer scheduling, staffing, and day-one operations.
They also sought to establish a direct working relationship with the seller early in the process so the parties could align on expectations and communication before ownership changed.
That operational preparation gave the seller greater confidence that the company, employees, and customers would be placed with buyers committed to continuing and developing the business.
Managing a Complex Transaction
The sale involved considerably more than the transfer of a business name and equipment. The transaction included:
- The operating business
- Commercial real estate
- Mechanical licensing and qualifier arrangements
- Vehicles and title documentation
- Equipment and inventory
- Insurance coordination
- Financial and operational due diligence
- Environmental and property review
- Seller financing documents
- Transition and consulting arrangements
- Coordination among attorneys, accountants, the title company, and both parties
Toufic led the seller relationship and worked closely with the owner throughout the process. Eric coordinated extensively with the buyer group and helped advance the transaction through due diligence and closing. Haroon remained actively involved in transaction strategy, negotiations, risk management, and final closing coordination.
A purchase agreement was reached approximately five weeks after the business entered the market.
Protecting the Seller Without Losing Momentum
As the transaction approached closing, the seller requested additional time for his attorney to complete a final review of the closing documents.
Capital worked with the buyers and professional advisers to respect that request without allowing the transaction to become open-ended. The buyers agreed to a defined one-week extension, the closing process remained active, and the title, insurance, document, and funding work continued.
Capital also helped the parties resolve final issues involving inventory, transition responsibilities, real estate documentation, and closing logistics while keeping attention on the seller’s larger objective.
The transaction successfully closed on July 29, 2026, approximately 14 weeks after the business was introduced to the market.
The Result
The seller was able to retire from ownership while remaining available to help the buyer understand the company, its customers, and its operations during the transition.
The buyers acquired an established HVAC company with a long operating history, experienced personnel, real estate, equipment, customer relationships, and opportunities for continued development.
Most importantly, the seller completed the transaction with confidence in the group selected to carry the company forward.
