This Legal Disclaimer applies to capitalbusinessbrokerage.biz and to information, listings, materials, forms, communications, and services provided by Capital Commercial Group, Inc., also known as Capital Business Brokerage, referred to as “Capital,” “we,” “us,” or “our.”

By using this website, submitting a form, viewing a listing, requesting information, or communicating with our firm, you agree to this Legal Disclaimer.

1. General Information Only

The information on this website is provided for general informational purposes only. It is not legal, tax, accounting, lending, investment, valuation, financial, or other professional advice.

You should consult your own attorney, CPA, tax advisor, lender, financial advisor, and other professionals before making any business, legal, tax, financing, or transaction decision.

2. No Broker Client Relationship Created by Website Use

Submitting a form, calling, emailing, texting, viewing a listing, requesting information, subscribing to emails, or using this website does not create a broker-client relationship, agency relationship, fiduciary relationship, advisory relationship, buyer representation relationship, seller representation relationship, valuation engagement, or financing relationship with Capital.

Any such relationship exists only through a written agreement signed by the applicable parties.

3. Business Listings and Information Accuracy

Business listing information, financial information, cash flow, revenue, inventory, equipment, lease terms, real estate information, employee information, licenses, permits, operations, asking prices, seller financing terms, SBA estimates, and other listing details may be provided by sellers, owners, representatives, or third parties.

Capital does not independently guarantee the accuracy, completeness, current status, or reliability of any listing information or third-party information. Listings may change, be withdrawn, go under contract, sell, expire, or become unavailable without notice.

4. Buyer Due Diligence

Buyers are solely responsible for conducting their own independent due diligence before entering into any transaction. This includes review and verification of financial records, tax returns, revenue, expenses, cash flow, real estate, zoning, environmental matters, leases, licenses, permits, equipment, inventory, employees, operations, liabilities, financing, and all other transaction matters.

Buyers should rely on their own investigation and their own professional advisors.

5. Seller’s Responsibility for Information

Sellers and owners are responsible for providing Capital with accurate and complete information. Capital may rely on seller-supplied information when preparing marketing materials, valuations, buyer communications, listing summaries, confidential information memoranda, presentations, and other materials.

6. Confidentiality and Access to Information

Certain business information is confidential. Users may not copy, publish, distribute, scrape, reproduce, share, or misuse confidential listing information or nonpublic business information.

Additional information about any business may require buyer screening, a signed confidentiality agreement, a completed buyer profile, proof of funds, lender prequalification, seller approval, broker approval, or other requirements.

Capital may decline to release confidential information to any person at its discretion, including for concerns related to buyer qualification, incomplete information, confidentiality risk, seller instructions, conflicts of interest, or other business reasons.

7. No Direct Contact With Sellers or Related Parties

Unless Capital gives prior written consent, prospective buyers and their representatives may not directly contact sellers, employees, landlords, customers, vendors, suppliers, competitors, lenders, franchisors, or other parties connected to a confidential business opportunity.

All inquiries, communications, inspections, and negotiations should be conducted through Capital unless otherwise agreed in writing.

8. No Offer or Binding Agreement

Nothing on this website is an offer to sell, offer to buy, solicitation of an offer, or binding agreement. A transaction is binding only when the applicable parties execute a written agreement.

All prices, terms, financing structures, seller financing terms, real estate terms, and transaction terms are subject to negotiation, due diligence, documentation, and final written agreement.

9. Valuation Disclaimer

Any Broker Opinion of Value, valuation discussion, pricing guidance, market estimate, or preliminary value range is based on information available at the time, market conditions, assumptions, buyer behavior, financial information, and professional judgment.

A Broker Opinion of Value is not a certified appraisal and does not guarantee a sale price, financing approval, tax result, legal outcome, or transaction result. Formal valuation reports require a separate engagement and may be subject to different assumptions, scope, standards, and limitations.

10. Financing Disclaimer

Capital is not a bank, lender, credit decision maker, underwriter, legal advisor, tax advisor, or financial advisor. Capital does not make loans, approve financing, guarantee financing, underwrite loans, set loan terms, or guarantee that any borrower will qualify for any loan product.

Independent third-party lenders or financing sources offer any financing options discussed with Capital. Loan approval, terms, conditions, collateral requirements, fees, rates, underwriting decisions, and closing requirements are determined solely by the applicable lender.

Capital may receive referral compensation from lenders, financing sources, or other third-party providers, where permitted by law.

11. Referral and Third Party Provider Disclaimer

Capital may refer to buyers, sellers, or other parties to attorneys, CPAs, lenders, insurance providers, valuation providers, exit planning providers, consultants, due diligence providers, brokers, or other service providers.

Capital may receive referral fees, referral compensation, or other compensation from third-party providers where permitted by law. You are not required to use any third-party provider recommended by Capital. Capital does not guarantee the performance, advice, fees, actions, omissions, or results of any third-party provider.

12. Agency, Dual Agency, and Intermediary Disclosure

Capital may represent sellers, buyers, or both parties as a disclosed dual agent or transaction intermediary where permitted by law and agreed in writing.

No agency, dual agency, fiduciary, buyer representation, seller representation, or advisory relationship is created unless confirmed by a written agreement or legally required disclosure.

13. Co Brokerage Disclaimer

Capital is not obligated to cooperate with outside brokers, agents, or intermediaries unless Capital agrees to do so in writing. Any co-brokerage arrangement is subject to Capital’s discretion, applicable law, licensing requirements, and written agreement.

14. No Guarantee of Results

Capital does not guarantee that any business will sell, that any buyer will qualify, that any transaction will close, that any valuation will be accepted, that financing will be approved, or that any specific result will be achieved.

Past transactions, sold listings, testimonials, case studies, tombstones, or examples are not guarantees of future results.

15. Sold Businesses and Case Studies

Examples of sold businesses, case studies, transaction summaries, buyer types, and seller stories may be anonymized, summarized, generalized, or limited to protect confidentiality.

Information shown about past transactions may not include all terms, conditions, facts, or circumstances involved in the transaction.
